Terms & Conditions of Sale

These Terms and Conditions of Sale (the "Agreement") apply to products and materials (collectively, the "Products") sold, and gutter and downspout installation, repair, and maintenance services (the "Services") performed, by High Point Gutter LLC, a Washington limited liability company (dba High Point Gutter) with a place of business at 14102 NE 189th St, Suite 100, Woodinville, WA 98072 (phone (425) 449-6622) ("High Point Gutter," "Contractor," or "seller"), for a customer ("Customer," "Homeowner," or "you"). Acceptance or approval of High Point Gutter's quote constitutes Customer's acceptance of this Agreement, its payment terms, and its late fee policy.

1. Estimates and Complete Agreement

The agreed-upon quote details the scope of work to be performed. Subject to any written agreement to the contrary, the work is limited to the Services noted in the quote. These Terms and Conditions and High Point Gutter's quote constitute the entire agreement between the parties; no modification is binding unless agreed to in writing by High Point Gutter.

2. Governing Law and Venue

This Agreement and any claim or dispute arising out of or relating to it are governed by the laws of the State of Washington, without regard to principles of conflict of laws. Venue for any suit or action brought for any breach of this Agreement shall be in the county in Washington where the work was performed.

3. Validity of Quote

This quote is valid for 30 days from the date issued. After 30 days, High Point Gutter reserves the right to update pricing, availability, or terms.

4. Customer's Three-Day Right to Terminate; Deposit

CUSTOMER IS ADVISED THAT FEDERAL AND STATE LAW ALLOWS CUSTOMER TO TERMINATE THIS AGREEMENT FOR ANY REASON WITHIN THREE (3) BUSINESS DAYS AFTER APPROVING IT. CUSTOMER ACKNOWLEDGES RECEIVING SUCH NOTICE PURSUANT TO THIS SECTION AND THE NOTICE OF CANCELLATION ATTACHED HERETO AS EXHIBIT A.

A 50% deposit is required to secure your materials and schedule date. The remaining balance is due upon completion. If Customer cancels within three business days, any deposit or payment made will be refunded. If Customer cancels after the three-business-day period, the deposit is non-refundable to the extent of materials ordered and costs incurred by High Point Gutter to secure the Customer's materials and schedule date.

5. Payment and Late Fees

The remaining balance is due upon completion of the work. Invoices unpaid after 30 days are subject to a 10% late fee. By approving the quote, Customer agrees to High Point Gutter's payment terms and late fee policy. If High Point Gutter retains a collection agency or attorney to collect overdue payments, all reasonable collection costs, including actual attorney's fees, shall be payable by the Customer to the extent permitted by applicable law.

6. Notice to Customer (Contractor Registration and Bond Disclosure)

High Point Gutter is registered with the State of Washington as a Construction Contractor (specialty: Gutters/Downspouts), registration/license no. HIGHPPG841J1, UBI no. 603-568-549, and has posted with the state a bond or deposit of $15,000 for the purpose of satisfying claims against the contractor for breach of contract, including negligent or improper work in the conduct of the contractor's business. The expiration date of this contractor's registration is April 21, 2028. THIS BOND OR DEPOSIT MIGHT NOT BE SUFFICIENT TO COVER A CLAIM THAT MIGHT ARISE FROM THE WORK DONE UNDER YOUR CONTRACT.

This bond or deposit is not for your exclusive use because it covers all work performed by this contractor. The bond or deposit is intended to pay valid claims up to $15,000 that you and other customers, suppliers, subcontractors, or taxing authorities may have. FOR GREATER PROTECTION YOU MAY WITHHOLD A PERCENTAGE OF YOUR CONTRACT. You may withhold a contractually defined percentage of your construction contract as retainage for a stated period of time to provide protection to you and help ensure that your project will be completed as required by your contract. YOUR PROPERTY MAY BE LIENED. If a supplier of materials used in your construction project or an employee or subcontractor of your contractor or subcontractors is not paid, your property may be liened to force payment and you could pay twice for the same work. FOR ADDITIONAL PROTECTION, YOU MAY REQUEST THE CONTRACTOR TO PROVIDE YOU WITH ORIGINAL "LIEN RELEASE" DOCUMENTS FROM EACH SUPPLIER OR SUBCONTRACTOR ON YOUR PROJECT.

The contractor is required to provide you with further information about lien release documents if you request it. General information is also available from the state Department of Labor and Industries (L&I Contractor Registration: 1-800-647-0982). High Point Gutter maintains general liability insurance; a copy of the certificate can be provided upon request.

7. Permits and Taxes

Unless otherwise specified, High Point Gutter's price does not include the cost of any permits or any sales, excise, use, or other taxes or fees now in effect or hereafter levied which High Point Gutter may be required to pay or collect in connection with the work. All such permit fees, taxes, and other fees shall be due and payable by Customer.

8. Property Access

Customer authorizes High Point Gutter to access the property where the work will be performed, with the necessary equipment, until the work is completed. Customer is responsible for clearing reasonable access to the gutters, roofline, and surrounding work areas.

9. Unsafe Structural Conditions

High Point Gutter reserves the right to pause or decline service under unsafe structural conditions. High Point Gutter is not responsible for pre-existing conditions, including but not limited to rotted or deteriorated fascia, soffit, or roofline; inadequate structural support; or other conditions not evident at the time of the quote. Any additional work required to address such conditions will be documented and require written approval before proceeding, and may result in additional charges.

10. Changes to the Work (Change Orders)

The work will be performed according to the scope agreed upon between High Point Gutter and the Customer. Changes may be agreed upon before or during the work, along with applicable charges, by written change order. High Point Gutter has the right to reject any requested change order for any reason.

11. Force Majeure

High Point Gutter shall be excused from, and shall have no liability for, any delay or failure to perform its obligations caused, in whole or in part, by a condition or event beyond its reasonable control, including, without limitation, severe weather, storm, flooding, wind, snow, ice, natural disaster or other act of God, fire, act or omission of Customer or any third party, labor dispute or shortage, transportation interruption, change in law, act of government, or unavailability of materials at a commercially reasonable price. High Point Gutter shall be entitled to extend the relevant performance date accordingly.

12. Customer's Indemnity

Customer shall indemnify, defend, and hold harmless High Point Gutter and its officers, agents, and employees from and against any and all claims, losses, damages, liabilities, costs, and expenses that may arise out of Customer's acts or omissions, including, but not limited to: (a) any breach by Customer of the Agreement; (b) any violation by Customer of any law, rule, or regulation; (c) any misuse of the Products by Customer; and/or (d) any negligence or willful misconduct of Customer.

13. Security Interest

If the Products are sold on credit terms, Customer acknowledges that High Point Gutter retains a purchase money security interest in the Products. To secure Customer's obligations, Customer hereby grants to High Point Gutter a security interest in all the Products sold under the Agreement, whether now owned or hereafter acquired, and all products and proceeds thereof. High Point Gutter may file any financing statements and send any necessary notices to perfect or protect such security interest. Nothing in this Section limits High Point Gutter's lien rights under Washington law.

14. No Assignment

Customer shall not assign its rights or delegate its duties under the Agreement. Any such attempted assignment or delegation shall be null and void.

15. Limitation of Liability

UNDER NO CIRCUMSTANCES, WHETHER FOR BREACH OF WARRANTY, NEGLIGENCE OR OTHER TORT, OR ON ANY STRICT LIABILITY THEORY, WILL HIGH POINT GUTTER BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES. This limitation does not apply to claims for personal injury. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above exclusion may not apply to you.

16. Warranty

High Point Gutter's Limited Warranty is set forth in Exhibit B. Continued warranty coverage may be conditioned on proper maintenance of the gutter system. Ask us about our Seasonal Maintenance Plan to keep your system performing and protect your warranty.

17. Privacy Notice

Please review High Point Gutter's Privacy Notice, found at https://www.highpointgutter.com/privacy-policy/, which explains its practices relating to the collection and use of your information through or in connection with the Services. Its use of your information is governed at all times by its Privacy Notice, which is incorporated into this Agreement.

18. Consent to Electronic Contracting

Customer hereby agrees and consents to approve or sign this Agreement electronically. Customer confirms that Customer has a valid, active email address and is capable of opening, reading, printing, storing, and saving emails and Word and PDF attachments sent to that email address. Exhibit A: Notice of Cancellation

You may CANCEL this transaction, without any penalty or obligation, within THREE (3) BUSINESS DAYS after the date you approved the quote for this transaction.

If you cancel within three business days, any deposit or payment made by you under the contract will be returned within TEN (10) BUSINESS DAYS following receipt by the seller of your Notice of Cancellation, and any security interest arising out of the transaction will be cancelled.

Exhibit B: Workmanship Warranty

High Point Gutter, LLC

High Point Gutter, LLC ("HPG") warrants to the original property owner that HPG will repair any defects in workmanship related to gutters or downspouts installed by HPG for a period of ten (10) years from the date of substantial completion of the installation.

This warranty applies only to defects in workmanship and does not cover material defects, which are subject to manufacturer warranties. Warranty coverage is limited to repair or correction of the defective workmanship and does not include incidental, consequential, indirect, or special damages, including but not limited to interior water damage, mold, structural damage, landscaping damage, or personal property damage. This warranty is non-transferable and applies only to the original owner of the property at the time of installation.

Installation Services. HPG warrants new gutter and downspout installations for a period of ten (10) years from the date of substantial completion. If new gutters and new gutter guards are installed together by HPG, the workmanship warranty is extended to twenty (20) years. Manufacturer warranties on gutter guard products are separate from and not covered by HPG's workmanship warranty; manufacturer warranty terms may vary between 25 and 45 years depending on the product selected.

Owner Maintenance Requirements. To maintain warranty coverage, gutters must be cleaned at least once annually unless a full gutter guard system has been installed by HPG. Cleaning may be performed by HPG or a licensed contractor. The owner must retain documentation of annual cleaning and provide proof upon request. Failure to maintain the system as described herein voids coverage only for resulting damage caused by lack of maintenance.

Exclusions. This warranty does not cover damage resulting from negligence, abuse, misuse, accident, alteration, modification, tampering, improper maintenance, settling of the structure, roof failure, or attachment of items to the gutter system after installation. This warranty does not cover damage caused by natural events including but not limited to wind, hail, snow load, ice damming, falling trees or limbs, earthquakes, storms, or other severe weather events. HPG does not warrant moss treatment, gutter cleaning services, roof blow-off services, skylight cleaning, or any service not specifically defined as installation or repair workmanship.

Rot and Structural Integrity. HPG will not install gutter products over rotted or structurally compromised fascia, soffit, or roof components. If rot or structural damage is identified, HPG will provide a separate estimate for repair. If the owner declines recommended rot replacement, HPG's warranty shall not apply to any issues arising from or related to such rot or compromised areas.

Repair Services. Repairs performed by HPG carry a three (3) year workmanship warranty from the date of repair completion. Repair warranties apply only to the specific area serviced and do not extend to the entire gutter system. Reseal and reslope services are warranted for three (3) years only when both services are performed together at the same time; coverage applies solely to the serviced sections. If HPG performs repairs on a gutter system not originally installed by HPG, the warranty applies only to the specific repair performed.

Warranty Claim Procedure. The owner must notify HPG in writing within a reasonable time after discovering any claimed defect. HPG must be given reasonable access to inspect the property and an opportunity to repair or correct the claimed defect before any third-party repairs are undertaken. Failure to provide notice and repair opportunity may void coverage for the claimed issue.

General Limitations. HPG's total liability under this warranty is limited to the original contract price of the work performed. In no event shall HPG be liable for incidental, consequential, indirect, or special damages. This warranty shall be governed by the laws of the State of Washington; venue for any dispute shall be in the county where the work was performed.
